Terms of Use

These Terms govern your access to and use of the MagicFlow AI service, operated by MagicWorks IT Solutions Pvt. Ltd. Effective 17th June 2026.

01Scope and Acceptance

These Terms of Use ("Terms") govern your access to and use of the MagicFlow AI service, available at https://www.magicflowai.io/ and any related applications, APIs, and tools (collectively, the "Service"). The Service is owned and operated by MagicWorks IT Solutions Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at 201, Vasant Bahawa, Survey No. 20, Near La Valle Casa, Bavdhan, Pune, Maharashtra 411021, India, having Corporate Identification Number U72200PN2012PTC144846 and Goods and Services Tax Identification Number 27AAICM2623C1Z (hereinafter referred to as "MagicFlow AI", "we", "us", or "our").

By accessing the website, creating an account, or using the Service in any manner, you ("you", "your", "User", or "Customer") agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" and "your" refer to that entity. If you do not agree to these Terms, you must not use the Service.

02Definitions

In these Terms, unless the context otherwise requires:

  • Account means the registered account a Customer creates to access the Service.
  • Customer Data means all data, content, and information submitted, uploaded, or transmitted by you or by visitors to your website through the Service, including conversation transcripts, lead information, and knowledge base content.
  • DPDP Act means the Digital Personal Data Protection Act, 2023, and any rules, regulations, or notifications issued under it.
  • End User means any person whose personal data is collected through the Service when interacting with your website chatbot.
  • Subscription means the paid plan you select on magicflowai.io, including Starter, Pro, Enterprise, or any custom plan agreed in writing.
  • Service means the MagicFlow AI software-as-a-service chatbot platform and all associated features, APIs, dashboards, and documentation.
  • Subscription Term means the period for which you have paid for the Service (monthly, yearly, or two-year).

03Eligibility

To use the Service, you must:

  • Be at least eighteen (18) years of age.
  • Be a legal entity duly incorporated and validly existing under applicable laws, or an individual with the capacity to enter into a binding contract under the Indian Contract Act, 1872.
  • Provide accurate, current, and complete registration information.
  • Maintain the confidentiality of your account credentials.
  • Comply with all applicable laws, rules, and regulations of India.

The Service is intended for businesses and organisations. The Service is not intended for personal, household, or consumer use, and is not designed or marketed for use by minors.

04Account Registration and Security

When you register for an Account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must notify us immediately at grievance@magicflowai.io of any unauthorised use of your Account or any other security breach.

We may suspend or terminate your Account if we reasonably believe that your registration information is false, misleading, or incomplete, or if you have violated these Terms.

05The Service

Description: MagicFlow AI provides an AI-powered chatbot platform that you can embed on your website to engage visitors, qualify leads, capture data, and route enquiries to your team or CRM. The Service operates on a multi-tenant cloud architecture.

Subscription plans: The Service is offered under multiple Subscription plans, each with different feature sets, message limits, and pricing. Current plans, prices, and feature comparisons are available at https://www.magicflowai.io/pricing. We may modify the plans, features, and pricing from time to time, with reasonable advance notice to existing Customers.

Free trial: We offer a 30-day free trial of the Service. The free trial includes access to the features specified on the pricing page during the trial period. At the end of the trial period:

  • If you have provided payment information and have not cancelled, your Subscription will continue at the plan you selected, and payment will be charged.
  • If you have not provided payment information, the trial will expire and the chatbot will continue to function with degraded features (no UTM tracking, no CRM routing, limited daily messages). You may resume full features by upgrading to a paid plan.

Modifications to the Service: We continuously improve the Service and may add, modify, or remove features. We will provide reasonable notice of material changes that adversely affect your use of the Service. We are not liable for any such modifications, provided we use commercially reasonable efforts to notify you in advance.

06Fees, Payment, and Billing

Fees: You agree to pay the fees applicable to your Subscription plan as displayed at https://www.magicflowai.io/pricing at the time of purchase. All fees are exclusive of applicable taxes, including but not limited to Goods and Services Tax (GST), which will be added at the prevailing rate (currently 18% for SaaS in India).

Payment processing: Payments are processed by our payment gateway partner, Razorpay Software Private Limited. By providing your payment details, you authorise us and Razorpay to charge the applicable fees to your selected payment method. We do not store your full card details on our servers; these are handled by Razorpay in compliance with the Payment Card Industry Data Security Standard (PCI-DSS) and Reserve Bank of India guidelines.

Auto-renewal: Subscriptions automatically renew at the end of each Subscription Term (monthly, yearly, or two-year) for an additional period of the same length, unless you cancel before the renewal date. You may cancel at any time through your dashboard or by emailing support@magicflowai.io in accordance with the Cancellation Policy.

Price changes: We may modify the fees for the Service. Any price increase will not take effect during your current paid Subscription Term but will apply to the next renewal. We will provide at least thirty (30) days' advance notice of any price change.

Late payment and overage: If a payment fails, we will retry the payment up to three times over seven days. If payment remains unsuccessful, we may suspend your Account until payment is received. If you exceed your monthly message limit, overage charges will apply at the rates specified on the pricing page (currently ₹2 per message for Starter, ₹1.50 for Pro, ₹1 for Enterprise).

Taxes: All fees are exclusive of taxes. You are responsible for all taxes applicable to your purchase, including GST. For Customers with a valid GSTIN, we will issue a tax invoice enabling Input Tax Credit claims.

Refunds: Refunds are governed by our Refund Policy, available at https://www.magicflowai.io/refund-policy.

07Customer Data and Customer Responsibilities

Ownership of Customer Data: As between you and us, you retain all right, title, and interest in and to your Customer Data. We claim no ownership over Customer Data.

Licence to MagicFlow AI: You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Customer Data solely to the extent necessary to provide, maintain, and improve the Service, and to comply with applicable law.

Customer Data and End Users: You acknowledge that when visitors to your website interact with the MagicFlow AI chatbot, those visitors are End Users whose personal data you may collect. As between you and the End User, you are the Data Fiduciary under the DPDP Act, and we are the Data Processor acting on your instructions. You are responsible for:

  • Obtaining valid consent from End Users for the collection and processing of their personal data.
  • Providing End Users with a clear privacy notice on your website.
  • Honouring data subject rights requests from End Users.
  • Compliance with the DPDP Act, IT Act, and all other applicable Indian privacy laws.

Our Data Processing Agreement (DPA), available at https://www.magicflowai.io/dpa, governs our role as Processor.

Prohibited content: You must not use the Service to collect, process, or transmit any data that is unlawful, defamatory, obscene, infringing, harassing, or otherwise prohibited under Indian law. You must comply with our Acceptable Use Policy at https://www.magicflowai.io/acceptable-use-policy.

08Intellectual Property

Our intellectual property: The Service, including all software, technology, content, designs, logos, trademarks (including the marks "MagicFlow AI" and the MagicFlow AI logo), documentation, and any improvements, modifications, or derivative works thereof, is the exclusive property of MagicWorks IT Solutions Pvt. Ltd. and is protected by Indian and international intellectual property laws.

Limited licence to you: Subject to your compliance with these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service during your Subscription Term for your internal business purposes only.

Restrictions: You must not:

  • Copy, modify, distribute, sell, lease, or sublicense any part of the Service.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Remove or obscure any proprietary notices, including "Powered by MagicFlow AI" branding.
  • Build a competing product or service using the Service.
  • Use the Service to train any third-party AI model without our prior written consent.
  • Use any automated means, including bots or scrapers, to access the Service except as expressly permitted by our APIs.

Feedback: If you provide us with feedback, suggestions, or ideas for the Service, you grant us a perpetual, worldwide, royalty-free licence to use such feedback for any purpose without obligation to you.

09AI Output and Limitations

The Service uses artificial intelligence to generate conversations and responses. You acknowledge that:

  • AI output may contain inaccuracies, errors, or content that is not appropriate for your specific use case.
  • You are responsible for reviewing and validating AI output before relying on it for business decisions.
  • We make no warranty as to the accuracy, completeness, or fitness for purpose of any AI-generated content.
  • You must not use the Service to provide medical, legal, financial, or other professional advice without appropriate human oversight.
  • AI output should not be treated as a substitute for professional human judgment.

10Service Availability and Support

Uptime: We strive to provide the Service with at least 99% monthly uptime for all plans (Starter, Pro, and Enterprise), excluding scheduled maintenance and force majeure events. We do not currently offer a separate Service Level Agreement (SLA) or uptime credits for any plan.

Scheduled maintenance: We may schedule maintenance during off-peak hours and will use commercially reasonable efforts to provide advance notice via email or the dashboard.

Support: Support is provided to all customers via email at support@magicflowai.io or by opening a support ticket from your dashboard. The same support service applies to all plans; we do not currently offer differentiated or priority support tiers.

11Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is identified as confidential or that a reasonable person would understand to be confidential under the circumstances. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party. This obligation survives termination of these Terms for three (3) years.

12Warranties and Disclaimers

Limited warranty: We warrant that the Service will perform substantially in accordance with the documentation provided at https://www.magicflowai.io/. Your sole and exclusive remedy for breach of this warranty is, at our option, to repair the Service or refund the prorated fees for the affected period.

Disclaimer of other warranties: EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE SECURE OR NOT LOST OR ALTERED.

13Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

These limitations apply regardless of the legal theory of liability (contract, tort, statute, or otherwise) and even if any remedy fails of its essential purpose.

14Indemnification

By you: You agree to indemnify, defend, and hold harmless MagicFlow AI, MagicWorks IT Solutions Pvt. Ltd., and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms, (b) your Customer Data, (c) your use of the Service in violation of applicable law, or (d) any End User's claim that you have violated their rights.

By us: We will indemnify, defend, and hold harmless you from and against any third-party claim that the Service infringes a valid Indian intellectual property right of such third party, provided that you (a) promptly notify us of the claim, (b) give us sole control of the defence and settlement, and (c) reasonably cooperate with us. Our maximum liability under this section is subject to the cap in the Limitation of Liability section.

15Term and Termination

Term: These Terms remain in effect for as long as you have an active Account or Subscription.

Termination by you: You may terminate these Terms at any time by cancelling your Subscription in accordance with the Cancellation Policy at https://www.magicflowai.io/cancellation-policy.

Termination by us: We may terminate or suspend your Account immediately if you materially breach these Terms (including non-payment), violate the Acceptable Use Policy, or engage in fraudulent or illegal conduct. We may also terminate your Account for convenience with thirty (30) days' written notice.

Effect of termination: Upon termination: (a) your access to the Service will be revoked, (b) all outstanding fees become immediately due, (c) you may export your Customer Data within thirty (30) days of termination, after which we will delete it in accordance with our data retention policy.

Survival: Sections relating to intellectual property, confidentiality, indemnification, limitation of liability, and dispute resolution survive termination.

16Dispute Resolution

Governing law: These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Jurisdiction: Subject to the arbitration provision below, the courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes arising from or related to these Terms.

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms shall, in the first instance, be resolved through good-faith discussions between authorised representatives of the parties for a period of thirty (30) days. If the dispute remains unresolved, it shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties (or, if no agreement, appointed in accordance with the Act). The seat and venue of arbitration shall be Pune, Maharashtra. The language of arbitration shall be English.

17Force Majeure

Neither party will be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, internet or telecommunications failure, or pandemics.

18Modifications to these Terms

We may revise these Terms from time to time. The most current version will always be available at https://www.magicflowai.io/terms-of-use. We will notify you of material changes via email or through the Service at least thirty (30) days before they take effect. Your continued use of the Service after the effective date of any revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you may terminate your Subscription in accordance with the Cancellation Policy.

19General Provisions

Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, Cancellation Policy, Acceptable Use Policy, Data Processing Agreement, and any order forms or addenda, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Waiver: No failure or delay by us in exercising any right under these Terms operates as a waiver.

Notices: Notices to us must be sent in writing to 201, Vasant Bahawa, Survey No. 20, Near La Valle Casa, Bavdhan, Pune, Maharashtra 411021, India, with a copy to grievance@magicflowai.io. Notices to you will be sent to the email address on your Account.
